The Board has overall responsibility for the management of BIRS and will do or cause to be done all acts necessary, appropriate or incidental to fulfill the objectives of the Corporation, and to comply with the reporting requirements contained in all agreements. In particular, the Board will have the following duties:

(A) In respect of the overall BIRS Program:

  1. Oversee the responsibilities and the selection of the BIRS Scientific Advisory Board, and Director;
  2. Establish, facilitate and promote the communication of information and knowledge related to the progress of the BIRS research;
  3. Facilitate the dissemination of research results that may be of interest for innovation;
  4. Update or amend the BIRS Research plan at intervals determined by the Board, based upon the recommendation of the Scientific Program Committee;
  5. Create appropriate committees of the Board to assist it in ways it deems desirable in the execution of its responsibilities.

(B) In respect of the requirements of the Funding Agencies:

  1. Oversee all financial aspects of the BIRS organization;
  2. Report to their Councils, as defined in the BIRS Agreement, in each annual report progress in meeting the objectives;
  3. Submit to their Councils, as part of the annual report, a financial report for each fiscal year.

The membership of the BIRS Board of Directors should reflect the mandate of the station and its stakeholders. In particular, the Board will ensure adequate representation from Canada (3 representatives), the US (3 representatives), Mexico (3 representatives), as well as the province of Alberta (1 representative). In addition, the Board will include besides the BIRS director, the directors of its four founding institutions, namely PIMS, MITACS, MSRI and IM-UNAM.
